Founded in 2017, State Capital is a private investment and holding company specializing in structured liquidity solutions for founders and early shareholders of privately held companies. Our principal strategy is providing shareholders with immediate liquidity through prepaid forward purchase agreements.

These bespoke transactions allow shareholders to access capital today in exchange for the future delivery of shares—or their cash equivalent—upon an IPO, acquisition, approved secondary sale, or other agreed settlement event. We act as a principal, investing our own capital alongside affiliated investment vehicles. Each transaction is structured around the shareholder’s objectives, the company’s transfer restrictions, and the anticipated path to liquidity. We move with speed, discretion, and conviction, drawing on trusted relationships across the venture ecosystem to source opportunities outside traditional secondary channels.

Beyond structured founder liquidity, State Capital selectively invests in operating businesses, private-market opportunities, real assets, and exceptional pre-seed companies. Certain investments are offered through invite-only syndicates and special-purpose vehicles, with participation reserved for aligned, long-term capital partners.
